How meeting structure can reveal focus
Is your Board meeting a governance meeting, or a management meeting with directors present?
That’s one of the most important — and often overlooked — questions in governance because it reveals a great deal about how a Board understands its role.
The core purpose of a Board meeting is not to manage day-to-day operations. It is to conduct the governing business of the organization. A Board exists to provide direction, oversight, accountability and stewardship on behalf of the organization and its stakeholders. And its meetings should reflect that purpose.
Too often, however, Board agendas become dominated by operational updates, staff activities and administrative details.
Directors can spend the majority of their meeting listening to reports rather than engaging in meaningful governance discussion. While operational information is important, it should support governance decision-making not replace it.
What good Board meetings prioritize
- An effective Board meeting focuses on questions such as:
- Are we achieving our strategic outcomes?
- What risks or opportunities require Board attention?
- Are policies being followed and remain appropriate?
- How are we measuring organizational performance?
- What future decisions or direction are required from the Board?
The Executive Director or CEO also plays a critical role in this process, and that role is distinct from the Board’s. The Board governs the organization, while the ED provides the information, analysis and recommendations necessary for the Board to make informed governing decisions. Management then leads operations.
When this distinction between roles becomes blurred, Boards often drift into operational involvement while losing focus on strategic leadership and oversight.
Strong governance requires discipline. It requires agendas designed around governing work, reporting that supports oversight rather than operational storytelling, and directors who understand that their responsibility is to steer the organization not to row the boat.
The best Board meetings are not management meetings with directors present. They are focused governance discussions that help the organization move forward with clarity, accountability and purpose.
